These Terms and Conditions apply to all offers, quotations, orders, and agreements between OVI-Enschede and its customers unless otherwise agreed in writing. By using our website or engaging our services, you agree to these terms.

2. Services
OVI-Enschede specializes in lighting solutions, including sports field lighting, site and terrain lighting, LED conversions, lighting maintenance, and technical consultancy. We aim to deliver reliable and high-quality services in accordance with industry standards and Dutch law.
3. Quotations and Offers
All quotations and offers from OVI-Enschede are non-binding unless explicitly stated otherwise. A quotation remains valid for 30 days unless a different period is specified. Prices in quotations are exclusive of VAT and other government-imposed levies unless stated otherwise.
4. Orders and Agreements
An agreement is established once the client has accepted a quotation in writing or when OVI-Enschede confirms the assignment in writing. Any changes to an order or assignment must be approved in writing by OVI-Enschede.
5. Pricing and Payment
All prices are in euros (€) and exclusive of VAT unless otherwise indicated. Payment must be made within 14 days of the invoice date unless otherwise agreed in writing. If payment is not received on time, OVI-Enschede reserves the right to charge statutory interest and collection costs. All delivered goods and materials remain the property of OVI-Enschede until full payment has been received.
6. Delivery and Execution
Delivery times are indicative and based on the circumstances known at the time of the offer. Delays do not entitle the client to compensation or cancellation unless the delay is unreasonable and attributable to OVI-Enschede. We reserve the right to subcontract parts of our work to qualified third parties.
7. Warranty and Quality
OVI-Enschede guarantees that delivered products and services meet the applicable technical standards and specifications agreed upon. Warranty terms depend on the product or brand supplied (for example, Philips, AAA-Lux). The warranty does not apply to defects caused by improper use, insufficient maintenance, external influences, or unauthorized modifications.
8. Maintenance and Repairs
For lighting systems maintained by OVI-Enschede, regular maintenance is performed according to the agreed plan or contract. Maintenance or repairs outside the standard contract may be charged separately. Customers are responsible for providing safe access to installations.
9. Liability
OVI-Enschede is not liable for indirect or consequential damages, including loss of profit, business interruption, or data loss. Our total liability shall not exceed the total value of the relevant order or contract. This limitation does not apply in cases of intent or gross negligence.
10. Force Majeure
OVI-Enschede is not liable for failure to fulfill its obligations due to events beyond its reasonable control, including but not limited to natural disasters, government measures, strikes, technical failures, or supply chain disruptions. In such cases, performance will be suspended for the duration of the force majeure event.
11. Intellectual Property
All materials, designs, drawings, and technical data provided by OVI-Enschede remain our intellectual property and may not be copied, reproduced, or shared without written permission.
12. Termination
Both parties may terminate the agreement with reasonable notice if the other party fails to meet its contractual obligations. In case of insolvency, liquidation, or bankruptcy of the customer, OVI-Enschede has the right to terminate the agreement with immediate effect.
13. Applicable Law and Jurisdiction
All agreements and these Terms and Conditions are governed by Dutch law. Any disputes will be submitted exclusively to the competent court in Overijssel, The Netherlands.
14. Changes to These Terms
OVI-Enschede reserves the right to modify these Terms and Conditions at any time. The latest version will always be available on our website and will apply immediately upon publication.
